Public agreement (offer) for the provision of hosting services

Limited Liability Company «Hosting in Ukraine», EDRPOU code 44800109 (the “Contractor”), represented by Director Iryna Heorhiivna Bondar acting under the Articles of Association, publishes this offer to conclude an agreement for the provision of hosting and related services. This document is a public agreement under Article 633 of the Civil Code of Ukraine and has the same legal force as a signed paper agreement.
1. Subject of the agreement
1.1. The Contractor provides the Customer with the following services: shared hosting, VPS/VDS servers, dedicated servers, domain registration, SSL certificates, FTP storage, system administration, development and programming.
1.2. The Customer accepts and pays for the services in accordance with the terms of this agreement and the selected plans or individual Specifications.
2. Procedure for providing services
2.1. Services are provided remotely via the Internet after the Customer successfully registers on hosting.in.ua and activates the Client Area at account.hosting.in.ua.
2.2. All technical parameters, terms, scope and cost of the services are shown in the Customer's Client Area or set out in separate Specifications (annexes), which form an integral part of this Agreement.
2.3. The Customer must provide only accurate and up-to-date contact, identification and legal information when registering and ordering services.
2.4. The Customer must follow the Fair Use Policy. The use of server resources must correspond to a normal commercial load and must not create excessive interference with the Contractor's shared infrastructure.
2.5. The specific services, their scope, cost and term are set out in the invoice generated by the Contractor in the Client Area. The invoice confirms that the services have been ordered.
2.6. Services are provided on a 100% prepayment basis, unless the Parties have separately agreed otherwise in writing or electronically. At the Customer's request via the ticket system, payment of an invoice may be deferred for up to 5 calendar days.
3. Price and payment
3.1. The base price of some services may be set in euros (EUR) and is converted into the national currency of Ukraine, the hryvnia (UAH), at the official NBU exchange rate on the invoice date plus 10% (ten percent) to cover interbank fees and exchange rate risks.
3.2. Payment is made by cashless transfer via integrated electronic payment systems or by bank transfer to the Contractor's current account.
3.3. The Contractor is not a VAT payer. All prices and invoices are exclusive of VAT.
4. Money-back guarantee
4.1. The Customer is entitled to a refund for the first order of shared hosting or VPS/VDS services within 30 calendar days of activation, minus the days of actual use and payment system fees.
4.2. No refund is made if the Customer violates the terms of use, or for services that are exceptions to the refund policy (dedicated server rental, setup fees, domain names and third-party software licenses), as clearly stated in the “Refund Policy”.
5. Rights and obligations of the parties
5.1. The Contractor may restrict, suspend or completely terminate the services if the Customer violates this Agreement, the Terms of Service (ToS) or the applicable laws of Ukraine.
5.2. The Customer must not use the services to distribute spam, phishing or malware, host prohibited content or engage in any other illegal activity.
6. Document flow
6.1. Acts of completed work (services rendered) and invoices are generated automatically in the Customer's Client Area.
6.2. At the Customer's request, documents are sent with a qualified electronic signature via the electronic document management systems «Vchasno» or «Paperless». Paper copies of primary documents may be issued upon separate request.
7. Liability and force majeure
7.1. The Parties are liable in accordance with the applicable laws of Ukraine and this Agreement. The Contractor is not liable for losses, lost profits or data loss caused by the Customer or by the actions of third parties.
7.2. The Parties are released from liability for failure to fulfil their obligations in the event of force majeure. Since the Contractor's ultimate beneficial owner and/or key technical staff are engaged in state and military duties defending Ukraine (including military service), if they are in areas without communication or without physical access to civilian infrastructure, the Contractor may unilaterally change the timing of scheduled and physical repair work at the data center without penalties.
8. Dispute resolution
8.1. All disputes are settled through amicable negotiations. If no agreement is reached, the dispute is considered by the court at the Contractor's place of registration (the courts of Kyiv) in accordance with the applicable laws of Ukraine.
9. Final provisions
9.1. The Customer's registration on the website or payment of an invoice constitutes full and unconditional acceptance of the terms of this Agreement.
9.2. The Contractor reserves the right to change the terms of this Agreement, with the changes being published on hosting.in.ua.
